Marvell Drops 12.03% Premarket on Reported Lumentum Talks, a Target Worth 37.5% of Its Value

Bloomberg reported late Wednesday that Marvell Technology is in advanced talks to acquire Lumentum Holdings, and Reuters, citing a source, said a deal could be announced as soon as next week, per MarketScreener; no price, structure or signed agreement has been disclosed. Marvell closed Wednesday at $251.65, up 3.32%, then traded at $221.37, down 12.03%, in premarket at 8:56 a.m. EDT, while Lumentum closed at $913.95, up 5.52%, and traded at $981.50, up 7.39%, at 8:59 a.m., per StockAnalysis. Lumentum’s $82.79 billion market value equals 37.5% of Marvell’s $220.67 billion by ChipSentinel’s arithmetic, per CoinCentral, against Marvell’s roughly $3.92 billion of cash.

"the reach and bandwidth limitations of copper are increasingly driving customers towards optical interconnects." — Matt Murphy, Chairman and CEO, Marvell Technology, via 24/7 Wall St. (August 27 earnings call)

Murphy’s logic explains the strategic fit: Lumentum’s quarterly revenue was $1.01 billion, up 109.3%, per 24/7 Wall St., and Marvell raised its fiscal 2028 revenue forecast to $20 billion from $15 billion earlier in October, per the same MarketScreener report. On ChipSentinel’s reading, the 12.03% drop prices financing and dilution rather than strategy: Bernstein said a deal of this size would likely need additional financing and could be hard to integrate, per MarketScreener, and a 38% premium, the average Mizuho cites for past chip deals, per CoinCentral, would add about $31.46 billion to Lumentum’s value, leaving Marvell’s cash at about 3.4% of the roughly $114.25 billion implied. The winners on the tape are Lumentum holders; Marvell holders carry the financing question.

Companies & Financials

KLA Guides December Quarter to $4.7 Billion and Posts a Record Operating Margin Above 46%

  • KLA reported fiscal first-quarter revenue of $4.136 billion, above the midpoint of its $4.0 billion guide, with non-GAAP EPS of $1.22, and guided the December quarter to $4.7 billion, plus or minus $0.2 billion, with non-GAAP EPS of $1.44, plus or minus $0.11, per the company’s release, against a $4.04 billion revenue consensus, per KuCoin News. Why it matters: the guide midpoint is 13.6% above the quarter just reported by ChipSentinel’s arithmetic, CFO Bren Higgins said "KLA delivered operating margins over 46%" for the first time, and the shares closed at $158.77, up 3.33%, rose about 3.9% after hours and traded at $163.00, up 2.66%, in premarket, per Investing.com and StockAnalysis.
  • Samsung Electronics reported record third-quarter operating profit of $80.28 billion on revenue of about $145.93 billion, with a net profit 12.8% below the FactSet target, per The Korea Times, Investing.com and Stocktwits (October 29). Samsung reports in won; ChipSentinel converts at about 1,338 won per dollar, the rate implied by The Korea Times’ dollar figure for operating profit. Why it matters: operating margin rose to 55% from 52% and HBM4 sales more than tripled from the second quarter, per Investing.com, yet the net-profit shortfall coincided with a 2.5% overnight decline in the iShares Semiconductor ETF, per Stocktwits.

Samsung Says 2027 HBM Is Sold Out and Reports Third-Quarter DRAM Prices Up About 20%

  • Samsung said its 2027 HBM capacity is sold out at previously set prices and DRAM supply will stay tight in 2028, with third-quarter DRAM average selling prices up about 20% and NAND prices up nearly 10%, per KuCoin News (October 29), which attributes the statements to unnamed Samsung executives via IT Home. Why it matters: Samsung expects fourth-quarter DRAM shipments to rise 15% to 20% and NAND shipments about 15%, and said it has signed long-term agreements with ten customers and is negotiating with ten more, so on ChipSentinel’s reading part of memory revenue is shifting from spot exposure to contracted volume.
  • SK hynix’s New York listing closed up 13.30% at $164.70 and Micron closed up 5.86% at $983.23 as the Kospi gained 6.63% to 6,012.44, its best day since July 31, after SK hynix said its output through 2029 is sold out, per Capp Notes (October 28). Why it matters: Roundhill’s Memory ETF rose 7%, per Yahoo Finance, yet Micron traded at $959.00, down 2.46%, in premarket Thursday, per StockAnalysis, so the group opens by giving back part of a result-driven gain.
Supply Chain, Equipment & Fabs

Alphabet Plans 2027 Capex Above $300 Billion; KLA Sees Wafer Equipment Above $200 Billion

  • Alphabet spent $51.36 billion on capital expenditures in the third quarter, up 114% and below the $55.09 billion expected, held its 2026 range at $195 billion to $205 billion and projected 2027 spending above $300 billion, while Microsoft spent $45.2 billion against a $50.67 billion projection, per Gulf News (October 29). Why it matters: Alphabet’s free cash flow was negative $9.07 billion and its shares fell about 10% after hours, and the lower-than-expected quarterly spending was viewed as a negative for AI infrastructure suppliers, per Stocktwits.
  • KLA raised its 2026 WFE estimate to roughly the mid-$150 billion range, expects the market to exceed $200 billion in 2027, and put China at 27% to 29% of revenue, falling to the low 20s percent in 2027, per the Investing.com call transcript (October 28). Why it matters: CFO Bren Higgins said China "will likely grow a little bit, but not at the same rate as the growth in wafer equipment outside of China," so on ChipSentinel’s reading incremental equipment demand is coming from non-China customers.
Policy & Geopolitics

Fed Holds at 3.75% to 4.00% on a 10-2 Vote, With Two Dissents Favoring a Hike

  • The Federal Reserve held its policy rate at 3.75% to 4.00% in a 10-2 vote, with Governor Lisa Cook and Cleveland Fed President Beth Hammack dissenting in favor of a hike, and Chair Kevin Warsh declined to prejudge December, per Capp Notes (October 28). Why it matters: CME FedWatch showed an 85% likelihood of a hike of at least a quarter point in December, per Yahoo Finance, so the committee’s split leaves the rate path as the main discount-rate risk for long-duration chip valuations.
  • The 10-year Treasury yield rose 5.2 basis points to 5.044% and the 30-year 5.6 basis points to 5.360% on Wednesday, while the Philadelphia Semiconductor Index gained 1.75% to 11,684.00, per Capp Notes (October 28). Why it matters: the iShares Semiconductor ETF drew $1.84 billion of inflows, per the same report, so on ChipSentinel’s reading buyers added chip exposure with the long end above 5% on a session that SK hynix’s results drove.

  • Mizuho’s Vijay Rakesh noted that chip deals over the last 15 years averaged a 38% premium to the undisturbed share price, which implies Lumentum above $1,260 a share, per CoinCentral (October 29); by ChipSentinel’s arithmetic that is 38% above Wednesday’s $913.95 close.
  • SemiAnalysis said it believes ASML is building a die-to-wafer hybrid bonder, citing 27 bonding patent families filed between December 2022 and November 2024, and called ASML’s entry bad news for Besi, the only supplier with tools in volume production, per SemiAnalysis (background reading, published October 15).
